Advertiser Terms (Insertion Order)

Agreement between Binarius Systems Private Limited ("IndicAds", "we") and the business that creates an advertiser account ("you"). By creating an account or submitting an offer you accept these terms.

1. Offers and review

• You create offers in the portal: the text, link, price per conversion or lead, topics, and optional daily limit and monthly budget. Every new or changed offer is reviewed before it is shown; we may reject or remove any offer.
• Offers must follow the Ad Content Policy, the ASCI Code, and laws that apply to your sector (for example RBI rules for loans and IRDAI rules for insurance), including required disclaimers. You are responsible for your offers and landing pages.

2. Pricing and wallet

• You pay only for conversions (CPA) or leads (CPL) at the price in your offer. There is no charge for impressions or clicks.
• You pay in advance into a wallet. We issue a proforma invoice with GST; when payment is received the taxable amount is credited to your wallet and a tax invoice is issued. GST is charged at the applicable rate (currently 18%, SAC [998365]).
• Each conversion or lead is deducted from your wallet. Offers stop automatically when the balance cannot cover one more conversion, or when a daily limit or monthly budget is reached. A small overrun of at most one conversion can occur when many conversions arrive at once.
• Unused wallet balance is refundable on request, less any amounts owed, within [30] days after closing your account.

3. Leads

• Leads come with the user's explicit consent to be contacted by you about the offer, recorded with the consent text and time. Use lead details only to contact that person about that offer, never sell or share them, delete them when no longer needed, and honour opt-outs at once (including DND/TCCCPR rules for calls and SMS).
• You may reject a lead that is invalid (wrong or unreachable number, duplicate, clearly fake, outside your stated area) within 7 days, with a reason; the price is returned to your wallet. Leads not rejected within 7 days are final. Repeated unjustified rejections may lead to suspension.
• For lead webhooks, verify our signature and keep your endpoint available; undelivered leads remain available in the portal.

4. Conversions

For link and WhatsApp offers you report conversions to your conversion URL with the click reference we provide. Report only genuine conversions; we may audit reports. Fraudulent clicks detected by our systems are not charged.

5. Data protection

For lead details you receive, you are an independent Data Fiduciary under the DPDP Act and must comply with it, including security safeguards, purpose limitation and responding to users' rights requests.

6. Liability

We do not guarantee any number of impressions, clicks, leads or sales. Our total liability in any 12 months is limited to the fees you paid in those 12 months, and we are not liable for indirect loss. You indemnify us against claims arising from your offers, landing pages, products or use of lead data.

7. Ending the agreement

You may pause offers or close your account at any time. We may suspend accounts that breach these terms or the law.

8. Law and disputes

Indian law applies. Courts at [Pune, Maharashtra] have exclusive jurisdiction. Notices: [legal@indicads.in].
